Choose by transaction, not label
"Contract template" is a broad search. A useful library separates the commercial event, parties, jurisdiction, payment flow, risk allocation and exit route. The same title can conceal materially different obligations.
A pre-draft questionnaire
- Who are the legal parties and where are they organised or resident?
- Which law and forum are intended, and is that choice enforceable?
- What event triggers payment, delivery, acceptance or release?
- Which obligations survive termination?
- What personal, confidential or regulated data will be handled?
- Which facts remain unknown and must stay bracketed?
How AI should use a template
AI can turn answers and source documents into a first draft, compare a counterparty version and identify missing clauses. It should not silently choose a governing law or invent company details. Keep unresolved items in visible brackets and obtain local review for enforceability, tax, employment, consumer, privacy and regulatory issues.
